Our client, a prestigious Amlaw 50 firm, is seeking a talented Associate Attorney to join their distinguished Mergers and Acquisitions (M&A) and Private Equity Practice in New York . JD from a top-tier law school with a strong academic record .
Active Bar Admission in New York .
3+ years of substantive experience in M&A and/or Private Equity transactions .
Demonstrated experience leading or playing a key role in M&A/PE transactions in a law firm setting .
Exceptional drafting, negotiation, and organizational skills.
Proven ability to manage multiple transactions and deadlines in a fast-paced environment.
Strong interpersonal and communication skills with a client-first mindset.
Highly motivated team player with a strong work ethic and collaborative approach.
Represent corporate clients, private equity sponsors, and portfolio companies in M&A and investment transactions.
Advise on deal structuring, due diligence, negotiation, and execution of acquisition, disposition, joint venture, and investment agreements.
Draft and negotiate complex transaction documents, including stock and asset purchase agreements, shareholder agreements, and related corporate documentation.
Coordinate with tax, employment, regulatory, and other specialists to support deal execution.
Serve as a point of contact for clients, providing practical guidance and strategic insight throughout the transaction lifecycle.
